The Constitution of the Northern Kentucky University Alumni Association
ARTICLE I. NAME AND MISSION
Section 1. The name of this organization shall be Northern Kentucky University Alumni Association.
Section 2. The mission of this Association shall be to promote the general welfare of Northern
Kentucky University (hereinafter referred to as the University), create and maintain an active interest among alumni in extending the influence of the University, initiate and support activities which will further the interests of the University, its students and alumni, and provide means of perpetuating friendships among alumni centered around activities of the University.
ARTICLE II. MEMBERS
Section 1. Members of this Association shall include all persons who have received degrees from the University, which includes Northern Kentucky State College and the Salmon P. Chase College of law.
Section 2. All persons who have attended the University as fully accredited students and earned at least 24 hours credit, all persons who are or have been members of the University faculty, and other benefactors as determined by the Alumni Council, shall be eligible for associate membership.
Section 3. Those supporters and benefactors of the University whose services this Association may desire to recognize may be given honorary membership. Such membership shall be awarded by the Alumni Council.
Section 4. All members shall have the privilege of voting; however, only members as defined in Article II, Section 1 shall be elected to the Alumni Council.
ARTICLE III. ADMINISTRATION
The office for the transaction of business of this Association shall be the Office of Alumni Programs. The University administrative responsibility for the Office of Alumni Programs shall lie with the Director of Alumni Programs.
ARTICLE IV. LOCATION
The Office of Alumni Programs shall be located on, or adjacent to, the main campus of the University.
ARTICLE V. ALUMNI COUNCIL
Section 1. The Alumni Council shall consist of twenty-four (24) members, elected by the members of the Association for a term of three (3) years and ex-officio members as provided for in Section 2.
Section 2. The ex-officio members shall be the Director of Alumni Programs who shall serve as the Secretary/Treasurer of the Association, the immediate past president, if term of office on council has expired, the presidents of affiliated alumni clubs/chapters and Student Alumni Association or his or her designee. The voting members of the Alumni Council shall be the elected members. All other ex-officio members are non-voting members.
Section 3. The Alumni Council shall determine all policies and programs of this Association and shall decide all questions and perform all duties not otherwise provided for in the Constitution. The Alumni Council shall be empowered to transact its business when a majority of its voting members shall be present for a meeting.
Section 4. Any vacancy occurring on the Alumni Council by death or resignation of any Alumni Council member shall be filled for the duration of the unexpired term of said member by majority vote of the Alumni Council; such appointment shall not affect the appointee's eligibility for election.
ARTICLE VI. OFFICERS
Section 1. The officers of this Association shall consist of a President, President-Elect, Vice-President, and Secretary/Treasurer.
Section 2. It shall be the duty of the President to preside at all meetings of the Association and to perform all duties usually performed by such an officer.
Section 3. It shall be the duty of the President-Elect to preside in the absence of the President and to assume the office of President for the expired term should the President no longer be able to discharge the duties. The President-Elect shall have such powers and perform such duties as may from time to time be assigned by the President of the Association.
Section 4. It shall be the duty of the Secretary/Treasurer to coordinate all activities of the Association and to perform all duties usually performed by such officer. The Secretary/Treasurer shall be directly responsible for carrying out the program of the Association as approved by the Alumni Council and shall be responsible for budget and fiscal policy recommendations.
Section 5. The Secretary/Treasurer of the Association shall be the Director of Alumni Programs and shall be appointed by the President of the University with due consideration given to the recommendation of the Alumni Council.
Section 6. The Vice-President shall be responsible for developing alumni support and participation regarding Alumni Association activities and programs. The Vice-President shall also perform duties as assigned by the President.
ARTICLE VII. ELECTION OF ALUMNI COUNCIL
The Alumni Council shall be elected by the members of the Association for terms of three years; eight to be elected each year. No elected member of the Alumni Council shall serve more than two (2) consecutive terms.
ARTICLE VIII. APPOINTIVE COMMITTEES
Committees such as standing committees shall be appointed as are necessary and proper to carry out the functions of the Association. The duties of committees shall be as prescribed in the Bylaws or by other action of the Association.
ARTICLE IX. FISCAL YEAR
The fiscal year of this Association shall correspond with the University's fiscal year.
ARTICLE X. AMENDMENTS TO THIS CONSTITUTION
Amendments to this Constitution may be proposed by a petition signed by at least twenty-five (25) members of the Association, or by resolution adopted by the Alumni Council. A duly proposed amendment shall be submitted to the members of this Association in a manner prescribed by the Alumni Council at thirty (30) days prior to the voting deadline. An affirmative vote of two-thirds of the total votes cast shall be required to amend this Constitution.
ARTICLE XII. RULES OF ORDER
Roberts' Rules of Order Revised shall govern in all cases not provided for by this Constitution.

BY-LAWS TO THE CONSTITUTION
ARTICLE I. SCOPE
These by-laws are not intended to state purposes or authorize powers different from, or in addition to, those provided in the Constitution of the Northern Kentucky University Alumni Association.
ARTICLE II. MEETINGS
The Alumni Council shall meet at least quarterly or upon the call of the President of the Alumni Council, or by request or ballot by a majority of its voting members. Alumni and other members of the University community are encouraged to attend meetings of the Alumni Council. It shall be the duty of the Alumni Council members to attend scheduled meetings. The President or the Executive Committee may call for the resignation of any elected Alumni Council member who is absent from 3 (three) meetings between July 1 and June 30 of a given Council fiscal year.
ARTICLE III. ELECTION OF COUNCIL MEMBERS
Section 1. Nominations for candidates for election to the Alumni Council shall be made by a committee of not less than three (3) persons appointed by the President of the Association and ratified by a simple majority of the Alumni Council members present and voting. Said committee shall nominate at least one (1) name for each vacancy to be filled.
Section 2. Independent nominations for candidates for election to the Alumni Council may be made by a letter, signed by at least twenty-five (25) members of this Association and delivered to the Secretary/Treasurer.
Section 3. Nominations for candidates to serve on Alumni Council will be called for in an issue of the Northern magazine prior to the annual election.
ARTICLE IV. ELECTION OF OFFICERS
Section 1. A Nominating Committee appointed by the President will prepare a slate of officers with at least one (1) name for each position which will be communicated to all voting members of the Alumni Council prior to the first meeting following July 1. At said meeting nominations will be accepted from the floor and the Alumni Council shall hold the election. The President and President-Elect shall serve a one-year term. The officers shall begin immediately following election by the Alumni Council.
ARTICLE V. COMMITTEES AND DUTIES
Section 1. Executive Committee. The Executive Committee shall consist of the President, President-Elect, Past President, Vice-President, Secretary/Treasurer and Committee Chairpersons. The President shall be the Chairperson of the Executive Committee. The Executive Committee shall fix its own rules of procedure and shall meet as provided by such rules, and it shall meet at the call of the Chairperson or any member of the Executive Committee. During intervals between meetings of the Alumni Council, the Executive Committee shall possess and may exercise the power delegated by Council and specifically authorized by the Council in the management and direction of the affairs of the Association. All acts of the Executive Committee shall be subject at all times to the control and direction of the Alumni Council and the Executive Committee shall make a report of its acts and transactions to the Alumni Council which shall form a part of the records of the Association.
Section 2. Appointive Committees. Appointive Committees will be established (or discontinued) to assist in Association activities, as deemed necessary or desirable by the President of the Alumni Council. The chairperson of each committee shall be responsible for appointing the members of the Committee. The President shall be an ex-officio member of all committees.
ARTICLE VI. CONSTITUENT CHAPTERS/CLUBS
Section 1. The Constituent Clubs/Chapters shall stimulate and encourage loyalty in the graduates and former students of their college, department or geographical area. They shall establish programs to further the educational, social and charitable interests of the Constituent Club/Chapter, the Alumni Association and Northern Kentucky University.
Section 2. The Constituent Clubs/Chapters may establish programs and activities and adopt rules and by-laws provided that they shall not conflict with the Constitution and Bylaws of the Alumni Association. The Constituent Clubs/Chapters shall not enter into activities for which the Association may become liable without prior consent of the Alumni Association's Alumni Council.
Section 3. Each Constituent Club/Chapter shall be represented on the Alumni Council by the president or designee of the Constituent Club/Chapter. The representative shall be an ex-officio member without voting privileges.
ARTICLE VII. AMENDMENTS
The By-laws of the Constitution of the Northern Kentucky University Alumni Association may be amended by a two-thirds (2/3) vote of the Alumni Council at any meeting providing notice of the amendment to be considered, with a copy thereof, has been contained in the notice of the meeting to be given at least 14 days prior to the meeting date. A written proxy vote will be accepted and must be received by the Secretary of the Alumni Council prior to the meeting. A non-vote will be considered an abstention.
